Buzzencer Terms of Service

Article 1 (Purpose and Scope)
These Terms of Service (hereinafter "Terms") govern the conditions of use for "Buzzencer," an SNS affiliate growth platform (hereinafter "the Platform") operated by Twomi PTE LTD (hereinafter "the Company"). The Platform comprises multiple features including the Guild Affiliate Program and Buzzencer's System, and these Terms apply to all of them. By submitting an application to join or by participating in the Platform, registrants (hereinafter "Affiliates") are deemed to have agreed to all provisions of these Terms.
Article 2 (Definitions)
The following terms shall have the meanings set forth below. The Company may update the details of these definitions as needed in connection with specification changes or feature additions to the Platform.
- The Platform: The entirety of "Buzzencer" provided by the Company, including the Guild Affiliate Program, Buzzencer's System, and all other features.
- Guild Affiliate Program: A feature of the Platform combining affiliate activities using company-provided SNS content, collaborative Guild support, and a reward system.
- Buzzencer's System: A feature of the Platform provided by the Company to support Affiliates in their SNS activities.
- Affiliate: An individual who has agreed to these Terms and has been approved to participate following screening by the Company.
- Guild (Team): A group formed in accordance with standards set by the Company for the purpose of information sharing and mutual support among Affiliates.
- Guild Leader (GL): The person responsible for operating, managing, and developing a Guild.
- Direct Reward: Compensation paid to an Affiliate for results achieved through their own activities.
- Contribution Reward (Guild Bonus): Compensation distributed on a pro-rata basis based on a reward structure designed to reflect overall Guild activity performance, in accordance with standards set by the Company.
- Role Reward (Role Allowance): Compensation distributed according to the weight assigned to a recognized role, in accordance with standards set by the Company.
- Referral Link: A tracking URL or code unique to each Affiliate.
Article 3 (Nature of the Platform)
The Platform does not constitute multi-level marketing (MLM), chain selling transactions, or infinite chain schemes as regulated by the Act on Specified Commercial Transactions or the Act on Prevention of Infinite Chain Schemes.
Contribution Rewards and Role Rewards are calculated and granted solely based on each Affiliate's own individual performance through their SNS activities, Buzzencer's System usage, and content posting. The reward structure is designed to reflect overall Guild activity performance and is in no way linked to the number of other members recruited, enrolled, or any fees paid by such members.
Participation in the Platform does not require any payment of money, purchase of goods, or provision of services.
The conditions and calculation method for invitation points shall be governed by the reward policy separately established by the Company. Please refer to the latest information on your dashboard for details.
If an Affiliate promotes or solicits participation in the Platform in a manner that could be mistaken for MLM, pyramid schemes, or chain selling transactions, such conduct shall be attributed solely to that Affiliate's personal responsibility. The Company shall bear no liability for any damages or legal consequences arising therefrom and may immediately suspend the relevant Affiliate's account.
Article 4 (Eligibility)
Participation in the Platform is limited to individuals who meet all of the following conditions. Participation by corporations or organizations is not permitted.
- An individual aged 18 or older residing in Japan.
- A person who understands and agrees to these Terms.
- A person who has passed the screening and identity verification required by the Company.
- A person who has not previously been expelled or suspended from the Platform for a violation of these Terms.
- A person who does not belong to, and has no relationship with, any antisocial forces (including organized crime groups, gang members, racketeers, or equivalent parties).
Article 5 (Screening and Registration)
Participation in the Platform requires screening by the Company. If the Company determines that an applicant fails to meet the eligibility criteria, has incomplete identity verification, has a history of prior violations, or falls under other grounds established by the Company, it may decline the application without providing individual notice of the reason.
Users who wish to be appointed to a specific role that assists in the operation and administration of the Platform (hereinafter "Role") shall follow the procedures prescribed by the Company.
Appointment to a Role requires screening or an interview conducted by the Company or a party authorized by the Company. The criteria for appointment are governed by standards separately established by the Company and may be changed at the Company's discretion at any time.
Affiliates must promptly update their registered information through the method prescribed by the Company if any changes occur. The Company bears no responsibility for any disadvantage resulting from failure to update.
Accounts may only be used by the registered individual. Lending, transferring, or sharing accounts with third parties, or maintaining multiple accounts, is prohibited.
Article 6 (Change of Operator)
The Company may transfer the operation of the Platform to a third party due to business transfer, company split, merger, or other circumstances.
In the event of a change in the operating entity, the new operator shall succeed to the position of the Company under these Terms. Affiliates who continue to use the Platform after such a change shall be deemed to have consented to the change.
Upon a change in the operating entity, registered information, reward history, account information, and other Affiliate data may be transferred to the new operator.
The Company prior to any such change shall bear no responsibility for any damages arising from the change of operating entity.
Article 7 (Changes, Suspension, and Termination of the Platform)
The Company may, for business reasons, system conditions, changes in laws and regulations, or other unavoidable circumstances, change, temporarily suspend, or terminate all or part of the Platform's features without prior notice.
The Company shall bear no responsibility for any damages arising from such changes, suspension, or termination of the Platform.
Any confirmed unpaid rewards at the time of service termination shall be settled through a method determined by the Company. Unconfirmed results shall not be subject to settlement.
The provisions of this Article shall apply mutatis mutandis to the suspension or discontinuation of individual features, including Buzzencer's System.
Guild Affiliate Program Provisions
Article 8 (Guilds)
Affiliates may belong to one Guild through the method designated by the Company. Concurrent membership in multiple Guilds is not permitted.
Contribution Rewards and Role Rewards are generated only within Guilds consisting of multiple members. These rewards do not apply to single-member teams.
The timing and procedures for transferring, joining, or leaving a Guild shall be governed by rules separately established by the Company.
In the event that a GL becomes absent, the handling of the Guild shall be determined by the Company at its reasonable discretion. In any event, earned and confirmed rewards shall not be forfeited.
The Company makes no warranty as to the accuracy or effectiveness of any information or know-how shared among Guild members.
The distribution settings for Role Rewards are made at the GL's individual discretion. The Company shall bear no responsibility for damages arising from a GL's reward distribution decisions, kick actions, or other individual conduct, except where such conduct constitutes clear misconduct by the GL and the Company could have reasonably been expected to address it.
Article 9 (Reward Structure, Calculation, and Payment)
Rewards consist of three categories: "Direct Reward," "Contribution Reward," and "Role Reward." The funding source, calculation method, and distribution rules for each category are governed by the reward policy separately established by the Company and disclosed on the dashboard.
The contents of the reward plan (including reward amounts, calculation methods, distribution ratios, and payment conditions) may be changed at the Company's discretion, with prior notice, for business reasons, service improvements, changes in laws and regulations, or other reasons deemed necessary by the Company. Continued use of the Platform after any such change shall be deemed acceptance of the revised reward plan.
Scores, metrics, and distribution ratios used in reward calculations may be changed at the Company's discretion in connection with service improvements or specification changes.
The distribution ratio for Role Rewards is set by the GL within the period designated by the Company. Members may review the settings within that period and choose to transfer to another Guild. A history of setting changes shall be made available through a method determined by the Company.
Payment of rewards shall follow the payment cycle, minimum payment amount, and transfer method separately established by the Company. Amounts that do not reach the minimum payment threshold will be carried over to the following period.
A prescribed review period applies to the confirmation of results. In the event of refunds, cancellations, or similar occurrences, the corresponding amounts will be deducted from rewards.
In the event that an error in reward calculation or payment occurs due to a system failure or calculation error, the Company will take reasonable corrective action upon confirmation. However, except in cases of intentional misconduct or gross negligence on the part of the Company, the Company shall not be liable for any delay penalties or incidental damages.
Rewards are generally treated as miscellaneous income or business income and are subject to self-assessed income tax filing by the Affiliate. Please consult a tax professional for details.
Article 10 (Kick System)
A GL may issue a warning to a member who meets the conditions established by the Company, and may remove (kick) such member from the Guild if no improvement is observed within a specified period. The specific conditions and procedures shall be governed by rules separately established by the Company.
Members who consistently achieve results at or above a level designated by the Company shall not, in principle, be subject to removal.
A kicked member retains the right to receive rewards based on confirmed results up to the time of removal.
If an Affiliate wishes to contest a kick, they may file a complaint through the method prescribed by the Company. The Company will review the complaint and render an appropriate decision.
Buzzencer System Provisions
Article 11 (Use of Buzzencer's System)
Buzzencer's System is a feature provided by the Company to support Affiliates in their SNS activities. In addition to individual SNS activity, Guild-level engagement is also reflected in the evaluation structure, with multiple performance points built into the design.
The specific features, specifications, and conditions of use for Buzzencer's System are governed by guidelines separately established by the Company. Features may be added, changed, or discontinued at the Company's discretion at any time.
Affiliates may use company-provided content made available through Buzzencer's System only within the scope of the intended purpose of the Platform.
Article 12 (Notes on Use of Buzzencer's System)
Posting, sharing, and other activities conducted through Buzzencer's System must comply with the terms of service and operating policies of each SNS platform (including Instagram, X, LINE, and TikTok). The Company bears no responsibility for any disadvantage arising from a violation of any SNS platform's terms.
The terms and specifications of each SNS platform are subject to change without notice at the discretion of the respective platform. Even if an Affiliate's SNS account is restricted, frozen, or suspended as a result of using Buzzencer's System, the Company shall bear no responsibility whatsoever, regardless of the cause.
Buzzencer's System usage records (such as execution counts) shall be determined based on measurements recorded in the Company's system. Affiliates who dispute any measurement result may file a complaint through the method prescribed by the Company.
Any intentional manipulation or misuse of Buzzencer's System features to falsely record activity (including unauthorized use of bots or automation tools) is strictly prohibited. If a violation is confirmed, the relevant records will be invalidated and measures such as account suspension or forfeiture of rewards may be taken.
General Provisions
Article 13 (Prohibited Activities)
Affiliates must not engage in any of the following activities. If a violation is confirmed, the Company may take measures including forfeiture of rewards, account suspension, and legal action.
Advertising and Promotion
- Solicitation that causes consumers to form expectations of earnings or effects without reasonable basis, including expressions that constitute false or misleading representations under Article 5 of the Act against Unjustifiable Premiums and Misleading Representations.
- Any expression that asserts, guarantees, or implies earnings, including phrases such as "guaranteed earnings," "anyone can easily make money," "earn while you sleep," "passive income," or similar formulations.
- Presenting success stories or performance results without disclosing that "this is an individual example" and that "results vary by individual."
- Creating false urgency to pressure participation, such as "join now or lose out," "last chance," "today only," or similar expressions urging immediate action.
- Any expression that implies or suggests financial or life success in connection with use of the Platform, such as "this changed my life" or "I became financially free."
- Testimonials that create a false impression of reproducibility, such as "even beginners can earn" — such expressions must be replaced with language clarifying individual variation.
- Using images or footage of luxury cars, overseas travel, or lavish lifestyles in a manner that implies a causal relationship with earnings from the Platform.
- Any advertising or promotional activity containing false or exaggerated content.
- Expressions likely to cause confusion regarding the products or services of the Company or its partner companies.
- Advertising that makes unauthorized use of the trademarks, copyrights, or portrait rights of others.
- Promotional activities conducted via spam emails, mass unsolicited direct messages, or nuisance communications.
- Unauthorized traffic-generation practices that violate the terms of search engines or other platforms.
Team and Recruitment
- Demanding money, goods, or services from others as a condition of joining the Platform.
- Lending, borrowing, gifting, or advancing money, goods, securities, or any other items of financial value between Guild members, or soliciting or encouraging others to do so.
- Solicitation or promotional activities that could be mistaken for MLM or chain selling transactions, including expressions such as "earn as a team," "earn through referrals," or "grow your team to increase income."
- Organizing, operating, or soliciting participation in any multi-level marketing (MLM) scheme — including any activity in which participants recruit others who in turn recruit further participants to build a hierarchical revenue structure. If confirmed, the agreement will be immediately terminated and the account will be frozen.
- Promoting the Platform through affiliate links or paid partnerships without clearly disclosing the affiliate or compensated relationship.
- Publishing promotional SNS posts without clearly indicating "#PR," "#Ad," or an equivalent disclosure.
- Unauthorized use or external disclosure of information shared within a Guild.
Fraudulent Activities
- Intentionally generating fictitious results or clicks (including self-clicking or use of bots).
- Misuse of Buzzencer's System features to falsely record activity results.
- Maintaining multiple accounts or fraudulently obtaining duplicate rewards.
- Applying for a role based on falsified performance records or follower counts.
- Providing benefits to or associating with antisocial forces.
- Any act equivalent to the preceding items, or any act that violates applicable laws or public order and morals.
Article 14 (Affiliate Responsibility)
All advertising, promotional activities, and SNS posts made by an Affiliate are entirely the responsibility of that individual Affiliate. The Company has no involvement in such content and bears no legal responsibility whatsoever for any complaints, damage claims, administrative guidance, or any other legal liability from third parties arising therefrom.
If the Company suffers damages as a result of an Affiliate's conduct, the Affiliate shall be liable to compensate the Company for such damages.
Affiliates shall resolve any disputes arising between themselves and third parties in connection with their use of the Platform at their own responsibility and expense, and shall not cause any inconvenience to the Company.
Article 15 (Intellectual Property Rights)
All intellectual property rights in any content related to the Platform (including logos, banners, SNS materials, and text) belong to the Company or the legitimate rights holders.
Affiliates may use content provided by the Company solely for the purpose of promoting the Platform. Use for any other purpose, modification, or redistribution is prohibited.
Rights to content independently created by an Affiliate belong to that Affiliate; however, the Affiliate is deemed to have granted the Company a non-exclusive, royalty-free license to use such content solely for the purposes of promotion and public relations related to the Platform. This license shall survive the termination of the Affiliate's account.
Article 16 (Handling of Personal Information)
The Company shall manage personal information obtained from Affiliates appropriately and with due care, in accordance with the Act on the Protection of Personal Information and the Privacy Policy separately established by the Company.
Obtained personal information shall be used solely for the purposes of operating the Platform, paying rewards, conducting screening, responding to inquiries, and fulfilling legal obligations.
Tracking data including click logs, performance tracking data, and SNS activity history shall be used for performance measurement, quality improvement of the Platform, and marketing analysis.
Except where required by applicable law, the Company shall not provide obtained personal information to third parties. However, the Company may outsource all or part of its personal information handling to external parties to the extent necessary to fulfill the purposes described herein. In such cases, the Company shall enter into a confidentiality agreement with the relevant outsourcee and exercise appropriate supervision.
Article 17 (Changes to These Terms)
The Company may amend these Terms at any time when deemed necessary.
When changes are made, the Company will notify Affiliates through means it deems appropriate, such as posting on the Company's website or sending notice to registered email addresses.
Continued use of the Platform after changes take effect will be deemed acceptance of the revised Terms.
Article 18 (Withdrawal and Account Suspension)
Affiliates may withdraw from the Platform at any time through the method prescribed by the Company.
If confirmed unpaid rewards exist at the time of withdrawal and meet the minimum payment threshold established by the Company, they will be paid on the next scheduled payment date. Amounts below the minimum threshold may be forfeited. Please refer to the landing page for details.
The Company may, at its discretion, suspend or delete an account without prior notice if it determines that any of the following applies:
- A violation of these Terms has occurred.
- Fraudulent activity is suspected.
- Illegal activity has been found to have occurred in connection with use of the Platform.
- There has been no activity for an extended period.
- The Company otherwise determines that continuation is inappropriate.
The Company shall bear no responsibility for any damages arising from the suspension or deletion of an account.
Article 19 (Disclaimer)
The Company makes no warranty of any kind regarding the amount of rewards or results that an Affiliate may obtain through use of the Platform.
The Company shall bear no responsibility for damages arising from any of the following:
- System failures, server outages, or maintenance
- Natural disasters, earthquakes, typhoons, fires, or other acts of nature
- Communication line failures or interruptions to internet services
- Unauthorized access, cyberattacks, or hacking by third parties
- Changes to the terms, specifications, or services of any SNS platform
- Any other cause beyond the Company's reasonable control
Any disputes arising between an Affiliate and a third party as a result of the Affiliate's SNS posts, advertising, or promotional activities shall be resolved at the Affiliate's own responsibility and expense, without causing any inconvenience to the Company.
Except in cases of intentional misconduct or gross negligence on the part of the Company, the maximum amount of damages for which the Company shall be liable shall be limited to the total rewards paid to the relevant Affiliate during the three months immediately preceding the incident.
Article 20 (Governing Law and Jurisdiction)
These Terms shall be governed by and construed in accordance with the laws of Japan.
The Tokyo District Court shall have exclusive jurisdiction as the court of first instance over any disputes arising in connection with these Terms.
Article 21 (Consultation)
Any matters not stipulated in these Terms, or any questions regarding the interpretation of these Terms, shall be resolved through good-faith discussion between the parties. If no resolution is reached through discussion, the matter shall be referred to the court of jurisdiction set forth in Article 20.
